Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Economic Atlas website, applications, data tools, exports, and related services (collectively, the “Service”). “Economic Atlas,” “we,” “us,” and “our” mean [LEGAL ENTITY NAME], Inc. (a Delaware corporation, formation pending). By accessing the Service, creating an account, or purchasing a subscription, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.
1. The Service and important limitations
Economic Atlas provides research, visualization, screening, and AI-assisted analysis based on public and licensed data sources. Descriptive, not predictive; not investment advice. The Service is provided for general informational and research purposes only. It is not investment, financial, legal, tax, accounting, employment, insurance, or other professional advice; it is not a recommendation, solicitation, offer, or endorsement to buy, sell, or hold any security or take any other action. You are solely responsible for independently evaluating information and decisions made using the Service.
Data may be delayed, incomplete, revised, estimated, or unavailable. AI-generated responses may contain errors even when they cite sources. We do not promise that any data, score, forecast, answer, export, or third-party source is accurate, complete, current, or suitable for your purpose. Do not rely on the Service as the sole basis for a material decision.
2. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. Keep your account credentials confidential and promptly notify us of suspected unauthorized access. You are responsible for activity under your account to the extent permitted by law. We may suspend or terminate accounts that violate these Terms, create security risk, or expose us or others to harm.
3. Acceptable use
You may use the Service only lawfully and in accordance with these Terms. You will not: reverse engineer, interfere with, or bypass security or rate limits; use bots, scrapers, or bulk automation except through an expressly authorized interface; resell, sublicense, redistribute, or build a competing database from the Service or its exports; remove source, copyright, or attribution notices; submit malware or unlawful, infringing, discriminatory, or harmful content; use the Service to train a model without our written permission; or use the Service in a way that violates another party's rights or applicable law.
We may apply reasonable technical limits, including AI-turn, export, and rate limits, to protect the Service and its data providers. A paid plan does not grant unlimited access or override those limits.
4. Your content and feedback
You retain ownership of content you submit to the Service, including chat prompts, saved lists, and account-related content (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and use Your Content only as needed to operate, secure, support, and improve the Service, subject to the Privacy Policy. You represent that you have the rights needed to submit Your Content and that it does not violate these Terms.
If you provide feedback, ideas, or suggestions, you grant us the right to use them without restriction or compensation.
5. Ownership and third-party data
We and our licensors own the Service, its software, design, compilation, and content, excluding Your Content and material owned by third parties. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-sublicensable right to use the Service for your internal personal or business research purposes during your subscription or permitted free use.
Government agencies, public companies, and other licensors may own or impose terms on underlying data. Source links and citations identify sources, but they do not grant you a license to reuse third-party material beyond what applicable law or the source's terms allow. You are responsible for obtaining any rights needed for your intended reuse.
6. Paid subscriptions, billing, and cancellation
Paid plans are recurring subscriptions. The price, billing interval, and included features displayed at checkout are incorporated into these Terms. You authorize us and our payment processor, Stripe, to charge the payment method you provide at the beginning of each billing period until you cancel. Fees are in U.S. dollars unless checkout states otherwise, are exclusive of applicable taxes, and are payable in advance.
You may cancel a subscription by emailing [CONTACT EMAIL] from the account email before your next renewal date. Cancellation takes effect at the end of the current paid period; you retain paid access through then.
Refunds. If this is the first time you have subscribed to a paid plan, you may request a full refund of that first billing period within 14 days of the charge, no reason required, by contacting us at the address above. Outside that 14-day window, and for every renewal charge thereafter, fees are non-refundable, except where required by applicable law, for a billing error on our part (which we will correct in full), or as we otherwise agree in writing. Cancelling stops future renewals; it does not by itself refund the current paid period. We may change plan prices or features for a future renewal by giving reasonable advance notice.
7. Changes, availability, and termination
We may change, suspend, or discontinue all or part of the Service, including data sources and features. We will use reasonable efforts to give notice of material adverse changes to paid plans, but the Service may be unavailable without notice for maintenance, security, or events outside our control. We may update these Terms by posting the revised version and changing its effective date. Material changes will be communicated through the Service or by email when required by law. Continued use after the effective date means you accept the updated Terms.
8. Disclaimers and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent permitted by law.
9. Indemnity, governing law, and general terms
To the extent permitted by law, you will defend and indemnify us and our affiliates, officers, employees, and licensors against third-party claims and costs arising from Your Content, your use of the Service, or your breach of these Terms.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection law, the courts located in the State of Delaware have exclusive jurisdiction over disputes arising from these Terms or the Service.
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service, except for a separate written agreement we sign with you. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
